Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the TradeBuilds.app website, the TradeBuilds CRM software, and any services, software, websites, hosting, email, or consulting we provide ("Services"). By using our site, creating an account, starting a trial, or engaging our Services, you agree to these Terms. If you do not agree, do not use the site or Services.

1. Services

TradeBuilds provides (a) a subscription customer relationship management ("CRM") platform for trades businesses, and (b) custom software, web design and development, hosting, professional email, maintenance, and related services. Specific scope, deliverables, timelines, and pricing for custom work are defined in a separate written proposal, quote, statement of work, or invoice ("SOW"). In the event of a conflict between an SOW and these Terms, the SOW controls for that engagement.

2. Account Registration & Eligibility

• You must be at least 18 years old and able to form a binding contract. If you register on behalf of a business, you represent that you are authorized to bind that business.
• You agree to provide accurate, current registration and billing information and to keep it up to date.
• Accounts are issued per business. You are responsible for all activity that occurs under your account and under any user seats you create, including activity by employees and contractors.
• You must keep credentials confidential and notify us promptly at sabrina@tradebuilds.app of any suspected unauthorized access.

3. CRM Subscriptions, Free Trial & Billing

• Free trial. New accounts may receive a 14-day free trial. No card is charged during the trial, and nothing is auto-charged when it ends — you choose a plan or the account pauses.
• Auto-renewal. Paid plans are billed in advance on a monthly or annual cycle and renew automatically for the same term until cancelled. You authorize us and our payment processor to charge your card on file each cycle.
• Plan changes. Upgrades and downgrades take effect immediately and are prorated against your current cycle.
• Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide partial-month or partial-year refunds except where required by law.
• Price changes. We may change subscription pricing with at least 30 days' notice before the change applies to your next renewal. Continued use after that date constitutes acceptance.
• Taxes. Prices exclude sales, use, and similar taxes, which are your responsibility where applicable.

4. Payment Processing

Card payments — both your subscription and payments your customers make to you through the CRM — are processed by Stripe, not by TradeBuilds. Your use of payment features is subject to Stripe's terms, and standard Stripe processing fees apply. TradeBuilds does not add a markup and is not the merchant of record for your customer transactions. We are not liable for processor holds, reserves, account reviews, chargebacks, payout delays, or decisions made by Stripe or any card network.

5. Quotes, Custom Work Payment & Refunds

• Quotes are valid for 30 days unless stated otherwise.
• Unless the SOW says otherwise, a deposit is due before work begins, and remaining balances are due at agreed milestones or on delivery.
• Recurring services (hosting, email, maintenance) are billed in advance and are non-refundable once the billing period begins.
• Late payments over 15 days may incur a 1.5% monthly service charge and pause active work.

6. Customer Data & Imports

• You own your data. As between you and TradeBuilds, you retain all rights to the customer records, job data, documents, and other content you put into the Services ("Customer Data").
• You grant us a limited license to host, process, transmit, back up, and display Customer Data solely to provide and support the Services.
• Imports. If you import records from another CRM, spreadsheet, or third-party system, you represent that you have the right to do so and that the import does not violate any agreement, law, or third-party right. You are responsible for obtaining any consents required for the contacts you import, including marketing and SMS consent.
• Export and retention. You may export your data at any time while your subscription is active, and on request. After cancellation, your account remains read-only for 30 days; after that period we may permanently delete Customer Data. Keep your own backups.
• Our handling of personal information is described in our Privacy Policy.

7. Service Availability & Support

We use commercially reasonable efforts to keep the Services available, but we do not guarantee uninterrupted access and provide no uptime service-level agreement unless one is expressly stated in a signed plan or SOW. We may perform scheduled maintenance and will try to give advance notice for anything expected to cause meaningful downtime. Support is provided by email at sabrina@tradebuilds.app during normal business hours; response targets, if any, are set by your plan.

8. Beta & Preview Features

Features labeled beta, preview, early access, or similar are provided as is for evaluation, may be unstable or incomplete, may change without notice, and may be withdrawn at any time. They are excluded from any warranty, support commitment, or service-level term.

9. Third-Party Integrations

The Services may connect to third-party products such as Stripe, QuickBooks, mapping providers, and email or SMS providers. Those products are governed by their own terms and privacy policies. We do not control them and are not responsible for their availability, pricing changes, API changes, data handling, or discontinuation. If a third party changes or removes functionality, related features in the Services may change or stop working.

10. Client Responsibilities

You are responsible for:

• Providing timely content, credentials, feedback, and approvals.
• Ensuring you own or are licensed to use any materials you supply (text, images, logos, data, code).
• Complying with all laws applicable to your business, including privacy, marketing, tax, accessibility, and industry-specific regulations.
• Maintaining secure passwords and controlling access to your accounts and user seats.
• Reviewing quotes, invoices, and automated messages generated by the Services before they are sent to your customers.
• Backing up your own data unless a backup service is expressly included in your plan.

11. Acceptable Use

You agree not to:

• Use the site or Services for unlawful, harmful, or fraudulent purposes.
• Attempt to breach security, reverse engineer, scrape, or disrupt the Services.
• Resell, sublicense, or provide the Services to third parties as your own product without our written consent.
• Send spam or violate anti-spam or telemarketing laws, including CAN-SPAM and TCPA.
• Upload malware or content that infringes the intellectual property or privacy of others.
• Exceed documented plan limits or use automated means to place unreasonable load on the Services.

12. Suspension for Non-Payment or Abuse

We may suspend or limit access if payment fails and remains unpaid after notice, or if we reasonably believe your use violates these Terms, threatens the security or integrity of the Services, or exposes us or other customers to legal risk. Where practical we will give notice and an opportunity to cure, and we will restore access promptly once the issue is resolved. Suspension for cause does not entitle you to a refund.

13. What We Are Not Responsible For

To the fullest extent permitted by law, TradeBuilds is not responsible or liable for:

• Content, materials, or data you or your users provide, or claims arising from them (including copyright, trademark, defamation, or privacy claims).
• Losses caused by third-party services, platforms, APIs, plugins, hosting providers, domain registrars, payment processors, email deliverability, SMS carriers, or internet outages.
• Downtime, data loss, or errors caused by client-initiated changes, unauthorized access due to compromised client credentials, or misuse of the deliverables or the CRM.
• Loss of profits, revenue, goodwill, business opportunity, data, or any indirect, incidental, special, consequential, or punitive damages.
• Search engine rankings, ad performance, conversion rates, or any specific business outcome. We may advise on best practices but do not guarantee results.
• Regulatory compliance (e.g., HIPAA, PCI, GDPR, ADA/WCAG, CAN-SPAM, TCPA) unless expressly agreed in writing in the SOW.
• Delays caused by client inaction, third parties, or events beyond our reasonable control (force majeure).
• Modifications made by anyone other than TradeBuilds after delivery.

14. Warranty Disclaimer

The site and Services are provided "as is" and "as available". To the maximum extent permitted by law, TradeBuilds disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

15. Limitation of Liability

To the fullest extent permitted by law, TradeBuilds' total aggregate liability arising out of or related to these Terms or the Services will not exceed the amount you paid TradeBuilds for the specific Service giving rise to the claim in the three (3) months immediately preceding the event.

16. Intellectual Property

• The TradeBuilds CRM platform, its software, interfaces, and documentation are licensed, not sold. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to use the CRM for your internal business operations during your subscription term.
• Upon full payment, you receive ownership of the final custom deliverables specified in your SOW, excluding third-party components, open-source libraries, and TradeBuilds' pre-existing tools, templates, platform code, and know-how, which are licensed to you for the intended use of the deliverable.
• We may reference completed work in our portfolio and marketing unless you request otherwise in writing.
• If you send us feedback or suggestions, we may use them without restriction or obligation to you.

17. Trademarks & No Affiliation

TradeBuilds is an independent product. We are not affiliated with, endorsed by, or sponsored by Jobber, Housecall Pro, ServiceTitan, Stripe, QuickBooks or any other company named on this site. All product and company names, logos, and brands are the property of their respective owners and are used solely for identification, comparison, and interoperability purposes. Use of those names does not imply any association or endorsement.

18. SMS, Email & Marketing Communications

Use of SMS and email communications with TradeBuilds is governed by our Privacy Policy, including consent, opt-out (reply STOP for SMS or use the unsubscribe link in emails), message frequency, and carrier disclosures. If you use the Services to message your own customers, you are the sender of those messages and are solely responsible for obtaining and documenting the required consent.

19. Termination

You may cancel a subscription at any time as described in Section 3. Either party may terminate a custom-work engagement as set forth in the SOW. We may terminate these Terms or your account for material breach that is not cured within 10 days of notice. Fees for work completed and non-refundable expenses are due through the effective termination date. Sections that by their nature should survive (payment, IP, disclaimers, liability, indemnification, disputes) survive termination.

20. Indemnification

You agree to indemnify and hold harmless TradeBuilds and its owners, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your content or Customer Data, your use of the Services, messages you send to your customers, your violation of these Terms, or your violation of any law or third-party right.

21. Dispute Resolution & Governing Law

• Talk to us first. Before filing any claim, you agree to contact us at sabrina@tradebuilds.app and work in good faith for 30 days to resolve the dispute informally.
• Governing law and venue. These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Any dispute not resolved informally will be resolved exclusively in the state or federal courts located in Montgomery County, Ohio, and you consent to their jurisdiction.
• Class-action waiver. To the extent permitted by law, claims may only be brought in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding.
• Time limit. Any claim arising out of these Terms or the Services must be brought within one (1) year after the claim arose, or it is permanently barred, except where a longer period is required by law.

22. General

• Severability. If any provision is held unenforceable, the rest remains in effect and the provision is modified to the minimum extent needed to be enforceable.
• No waiver. Failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, together with any SOW and our Privacy Policy, are the entire agreement between us and supersede prior discussions.
• Electronic acceptance. Clicking to accept, signing electronically, or continuing to use the Services has the same legal effect as a handwritten signature.
• Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Independent contractors. Nothing here creates a partnership, joint venture, employment, or agency relationship.

23. Changes to These Terms

We may update these Terms from time to time. The "Effective" date reflects the latest revision, and we will provide notice of material changes affecting paid subscriptions before they apply to your next renewal. Continued use of the site or Services after changes constitutes acceptance.
